Who you contract with

Your contract for the service is with Search Intelligence Ltd. It runs the service, takes your payment, raises your invoice and answers your support messages. It is the party named in the terms of service and the party you would bring a claim against.

AI Search Labs Ltd owns the software, the brand, the domains and the customer database, and licenses all of it to Search Intelligence Ltd. You do not contract with AI Search Labs Ltd for the service, and it is named in the terms because the licence it grants is what allows the service to be offered at all.

Neither company is a parent or a subsidiary of the other. They are related companies under common direction, and the relationship between them is a written licence on arm’s-length terms.

Why the service is run this way

The software and the business that sells it are separate assets, and they are held by separate companies so that each can carry its own risks. AI Search Labs Ltd holds the intellectual property and takes no trading liabilities. Search Intelligence Ltd trades: it holds the VAT registration, the payment processing relationship and the customer contracts.

The arrangement is ordinary for a UK software business and it is disclosed here rather than buried in a clause, because the company name on your card statement and the company name in the copyright line are different, and you should be able to find out why in one place.

What it means for you in practice

  • Your subscription is charged by Search Intelligence Ltd through Stripe, and Search Intelligence Ltd is the name that appears on your card statement and on your invoice.
  • Your invoice carries the UK VAT registration number GB 357 3329 84, and VAT is applied by Stripe Tax according to the billing address you give.
  • Support is answered by Search Intelligence Ltd. The support form works without an account and keeps working after you close one.
  • Both companies handle personal data about you, in the roles the privacy policy sets out. The operator is your single point of contact for any request about your data, and a request sent to either company reaches both.
  • Rights over the software, the name and the look of the product stay with AI Search Labs Ltd throughout. Your documents, your agreements and the evidence record attached to them stay yours.

Continuity of the service

Because the product is owned by one company and operated by another, the operating company can change without the product changing. If the licence between them ends, or if the operator stops trading, AI Search Labs Ltd may take over the running of the service itself or appoint another licensee to run it, and your contract may be transferred on the same terms.

Clause 18 of the terms of service is where you agree to that transfer in advance. It is written that way so a change of operator does not interrupt agreements that are part-signed, and so the evidence record attached to a completed agreement stays retrievable through the same links.

The documents that govern your use

  • The terms of service, which are the contract between you and Search Intelligence Ltd, and which include the licence you are granted over the software.
  • The privacy policy, which sets out what personal data both companies hold, on what basis, for how long, and who processes it on their behalf.
  • Any order or plan you accept in the product, which fixes the plan, the seat count and the price for your workspace.

Where a document conflicts with this page, the document wins. This page describes the arrangement; it does not create obligations of its own.

VAT and invoicing

Search Intelligence Ltd is registered for UK VAT under number GB 357 3329 84. Plan prices are quoted without tax, and tax is added by Stripe Tax on top of the plan price where it applies to the billing address on the account.

A VAT-registered business can enter its tax identification number at checkout, and Stripe applies the reverse charge where the rules allow it. Invoices are issued by Stripe on behalf of Search Intelligence Ltd and are available from your billing page.

The record the product produces

Each agreement carries an append-only history of what happened to it. Every entry is fingerprinted with SHA-256 over its own contents and over the fingerprint of the entry before it, so altering an old entry breaks every fingerprint after it. When an agreement completes, a signing certificate freezes that chain and publishes its head and its length.

Anyone holding the verification code can recompute the chain at the check page without an account and without our involvement. The evidence page describes in plain words what that recomputation demonstrates and what it does not.

Whether that record satisfies a legal or regulatory requirement that applies to you is a question about your jurisdiction, your industry and the transaction in front of you. That judgement is yours to make, and neither company makes it for you. Nothing on this page or in the product is legal advice.
